Terms of Use

1. Parties and acceptance
These Terms of Use ("Terms") govern access to and use of the LemmaBase platform at lemmabase.com, related APIs, MCP integrations, and associated services (together, the "Service"). The Service is provided by LemmaBase B.V. (in oprichting) ("LemmaBase", "we", "us", or "our"), a company in formation under the laws of the Netherlands.
By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Service.
2. The Service
LemmaBase provides tools to write, store, version, publish, search, and evaluate rule specifications and related content. Features may include repositories, publications, a run/evaluation environment, HTTP APIs, and MCP access. We may change, suspend, or discontinue any part of the Service at any time, with or without notice, to the extent permitted by law.
The Service is built for teams that encode business and policy rules (including insurance, tax, healthcare, logistics, and compliance logic) as executable specifications. LemmaBase provides the registry, tooling, and evaluation environment; the substance of those rules is authored and controlled by you or by third parties who publish them. Using the Service does not make LemmaBase the author, advisor, or guarantor of any particular policy, regulation, or decision outcome.
3. Accounts and eligibility
You must provide accurate registration information and keep credentials secure. You are responsible for all activity under your account. You must promptly notify us of unauthorized use. We may suspend or terminate accounts that violate these Terms or that pose a security or legal risk.
4. Official organizations
LemmaBase may designate certain organizations on the Service as Official and display a badge (such as a blue checkmark) next to the organization name on profile pages, search results, and related surfaces.
Official status means only that LemmaBase staff designated the organization as an official presence on LemmaBase. It is not a warranty of identity beyond that designation, and it is not a warranty of the quality, correctness, legality, regulatory compliance, accuracy, completeness, fitness, or suitability of any content, rules, specifications, or evaluation results published by that organization. Section 5 (Rules, specifications, and decision logic) continues to apply in full to Official organizations and their content.
Designation as Official is at LemmaBase's sole discretion. We may grant, withhold, or revoke Official status at any time, with or without notice, and without liability to you or to any third party. Official status does not create a partnership, joint venture, agency, employment, endorsement of products or content, or any affiliation beyond display of the badge on the Service.
You must not claim Official status, display a counterfeit Official badge, or impersonate an Official organization. Doing so violates Acceptable use (Section 7).
5. Rules, specifications, and decision logic (critical disclaimer)
LemmaBase hosts, processes, versions, and may evaluate rule specifications and related logic that you or third parties create or publish. We make no representations or warranties regarding the correctness, legality, regulatory compliance, accuracy, completeness, fitness, or suitability of any rule, specification, model, evaluation result, API response, or derived output.
You alone are responsible for designing, testing, verifying, validating, auditing, and approving any rule logic before you rely on it in production or in any decision-critical context, including without limitation finance, tax, insurance, healthcare, logistics, legal, employment, public administration, or regulatory compliance. You must not treat platform evaluation results as authoritative without your own independent verification.
LemmaBase is not liable for decisions, automated actions, payments, denials, approvals, classifications, or other outcomes based on rules or evaluations run on or obtained from the Service, whether those rules were authored by you, your organization, or third parties.
6. Your content and licenses
You retain ownership of rule specifications and other content you submit ("Your Content"), subject to any third-party rights. You grant LemmaBase a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, and otherwise use Your Content solely to operate, secure, and improve the Service and to provide features you enable (including public discovery for public repositories).
You represent that you have all rights needed to submit Your Content and to grant the license above, and that Your Content does not infringe third-party rights or applicable law.
7. Acceptable use
You must not:
- use the Service for unlawful, fraudulent, or harmful purposes;
- upload malware, malicious payloads, or content designed to disrupt systems or evade security;
- attempt unauthorized access to accounts, systems, data, or non-public repositories;
- interfere with or overload the Service, or circumvent rate limits or access controls;
- misrepresent the source or authority of rules, claim Official organization status you do not have, impersonate an Official organization, or use the Service to distribute deceptive or infringing content;
- scrape or harvest data in a manner that violates these Terms or applicable law, except as expressly permitted by documented APIs and their terms.
8. Platform intellectual property
The Service, including software, branding, documentation, and UI, is owned by LemmaBase or its licensors. These Terms do not transfer any ownership of LemmaBase intellectual property to you. You may not copy, modify, reverse engineer, or create derivative works of the Service except as allowed by mandatory law or a separate written license.
9. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or error-free operation.
We do not warrant that the Service (including the editor, run/evaluation environment, APIs, MCP integrations, publication, search, or any related software or tooling) will be uninterrupted, timely, secure, complete, or free of defects, bugs, errors, malfunctions, regressions, or incompatibilities. We do not warrant that rule evaluations, schemas, health checks, or other outputs will be correct, reproducible in every environment, or suitable for any purpose. You assume all risk arising from use of the Service and from reliance on any output.
10. Limitation of Liability
To the maximum extent permitted by applicable law, LemmaBase, its founders, directors, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or business interruption, or for regulatory fines, penalties, third-party claims, or erroneous automated or human decisions, arising from or related to:
- use of, or inability to use, the Service;
- any rule, specification, publication, or evaluation result;
- bugs, defects, errors, malfunctions, outages, data loss or corruption, incorrect computations, failed evaluations, security incidents, or other failures of the Service or underlying software (including third-party components we rely on);
- changes, suspensions, or discontinuations of features or of the Service as a whole.
This exclusion applies whether the claim is based in contract, tort (including negligence), strict liability, statute, or otherwise, and whether or not LemmaBase was advised of the possibility of such damages.
Without limiting the foregoing, our aggregate liability arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the total fees you paid to LemmaBase for the Service in the twelve (12) months preceding the claim, or (b) one hundred euros (€100) if you have not paid any fees in that period. The existence of multiple claims does not enlarge this cap.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Dutch law, including liability for intentional misconduct (opzet) or deliberate recklessness (bewuste roekeloosheid) by LemmaBase itself, or liability for death or personal injury caused by negligence where such exclusion is prohibited.
11. Indemnification
You agree to defend, indemnify, and hold harmless LemmaBase B.V. (in oprichting) and its founders, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content or rules; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) decisions or actions taken in reliance on rule evaluations or outputs obtained from the Service.
12. Suspension and termination
We may suspend or terminate access to the Service immediately if you breach these Terms, if required by law, or if continued use creates risk to the Service or others. You may stop using the Service at any time. Provisions that by their nature should survive (including disclaimers, liability limits, indemnity, and governing law) survive termination.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms, except where mandatory law requires a different process.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Netherlands, excluding conflict-of-law rules. The competent courts of Amsterdam, the Netherlands, have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, without prejudice to mandatory consumer protections that may apply if you are a consumer in the European Economic Area.
